Terms of Use
These Terms of Use ("Terms") govern your access to and use of websites, applications, and services operated by Rezidly, Inc. ("Rezidly," "we," "us," or "our"), including the Rezidly platform, Residential Management Service (RMS), Borrower Verification Service (BVS), and related offerings (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes the organization.
1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at legal@rezidly.com if you suspect unauthorized use.
2. The Services
Rezidly provides software for residential property operations, maintenance procurement, rent-related workflows, and borrower verification for mortgage lending. Features may vary by product, subscription, and region. We may modify, suspend, or discontinue features with reasonable notice where practicable.
Not professional advice. The Services provide tools and workflows; they do not constitute legal, tax, accounting, insurance, or lending advice. You are solely responsible for compliance with applicable laws, landlord-tenant rules, fair housing, mortgage regulations, and consumer protection requirements in your jurisdiction.
AI-assisted features. Some features use automated or AI-assisted processing to draft content, summarize bids, or suggest next steps. Outputs may be inaccurate or incomplete. You must review and approve actions before they take effect where the product requires human approval. Do not rely on AI output as the sole basis for regulated decisions.
3. Customer data and privacy
Our collection and use of personal information is described in our Privacy Policy. If you submit data about third parties (tenants, vendors, borrowers, employees), you represent that you have provided required notices and obtained necessary consents and authorizations, including for credit and background checks where applicable.
4. Acceptable use
You agree not to:
- Use the Services for unlawful, fraudulent, or harmful purposes;
- Violate intellectual property, privacy, or other rights of others;
- Upload malware, attempt unauthorized access, or interfere with the Services;
- Reverse engineer or scrape the Services except as permitted by law;
- Use the Services to send spam or harassing communications;
- Misrepresent your identity or affiliation;
- Use consumer report or verification data for impermissible purposes under the FCRA or other laws.
We may investigate violations and suspend or terminate access as described in Section 10.
5. Fees and payment
Paid features require agreement to applicable order forms, subscription terms, or pricing displayed at checkout. Fees are non-refundable except as stated in those agreements or required by law. You authorize us and our payment processors to charge applicable fees and taxes. Failure to pay may result in suspension of the Services.
6. Intellectual property
Rezidly and its licensors own the Services, including software, designs, trademarks, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during your subscription or trial period.
You retain ownership of content you submit ("Customer Content"). You grant Rezidly a worldwide license to host, process, transmit, and display Customer Content solely to provide and improve the Services, comply with law, and as otherwise described in our Privacy Policy and any data processing agreement.
7. Third-party services
The Services may integrate with or link to third-party products (payment networks, credit bureaus, banks, identity vendors, etc.). Those services are governed by their own terms. Rezidly is not responsible for third-party acts or omissions.
8. Confidentiality and security
Each party may receive confidential information from the other. You will use reasonable care to protect Rezidly confidential information and use it only as permitted under these Terms. We implement safeguards described in our Privacy Policy; you are responsible for configuring roles and permissions within your organization.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, REZIDLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REZIDLY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING IN A TWELVE (12) MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO REZIDLY FOR THE SERVICES IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS ($100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
11. Indemnification
You will defend, indemnify, and hold harmless Rezidly from claims arising out of (a) your Customer Content, (b) your use of the Services in violation of these Terms or law, or (c) your relationships with tenants, vendors, borrowers, or lenders, except to the extent caused by Rezidly's gross negligence or willful misconduct.
12. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, pose a security risk, or as required by law. Upon termination, your right to access the Services ends. Sections that by nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence apply.
Except for claims that qualify for small claims court or injunctive relief for intellectual property misuse, disputes will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association. You waive any right to participate in a class action. Either party may seek relief in court for injunctive matters.
14. Changes
We may update these Terms by posting a revised version with a new "Last updated" date. Material changes will be communicated through the Services or by email where appropriate. Continued use after the effective date constitutes acceptance.
15. General
These Terms, together with the Privacy Policy and any order form or enterprise agreement, constitute the entire agreement regarding the Services. If a provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
